חברת י' קלוש עפר חיצוב ופיתוח הר הדר בע"מ (להלן: החברה ) נמצאה בהקפאת הליכים. החברה התחייבה בהסכם לבצע עבור המערערת, מחצבות אשרת בע"מ, עבודות העמסה, גריסה ופינוי של חומרי גלם מהמחצבה אותה הפעילה המערערת.

משלא שולמה לחברה התמורה בגין העבודות, הגיש הנאמן (פעמיים) בקשה למתן הוראות למערערת לשלם את התשלומים עבור פעילותה של החברה, ולאשר לחברה לא להמשיך בביצוע העבודה עד תשלום החוב. המערערת הגיבה רק לבקשה השנייה. המערערת התנגדה לבירור המחלוקת בדרך של בקשה למתן הוראות וטענה כי על הנאמן להגיש נגדה כתב תביעה. לגוף העניין, העלתה המערערת טענות שונות ובהן כי החברה הפסיקה את עבודתה ובכך הפרה את ההסכם בין הצדדים באופן יסודי. החברה, כך טענה המערערת, תירצה את הפסקת העבודה במלחמה שהיתה באזור הצפון, אך לא זו היתה, לטענת המערערת, הסיבה האמיתית. עוד טענה המערערת לקיזוז סכומים שונים, הכול כמפורט בתגובתה שנתמכה בתצהיר. הנאמן הגיב בכתב לתגובה, ולאחר מכן נתן בית המשפט המחוזי בירושלים (כב' השופטת ח' בן עמי) את פסק דינו, בלא שהצדדים זומנו לדיון כלשהו.

בפסק הדין קבע בית המשפט כי במסגרת הליכי הקפאה, ונוכח המסגרת הקצובה בזמן להליכים אלה, יש חשיבות לבירור מחלוקות עם צדדים שלישיים בדרך יעילה ומהירה. לעניין זה הפנה בית המשפט לספרם של השופטת ורדה אלשיך ועו"ד גדעון אורבך הקפאת הליכים – הלכה למעשה (2005), בעמ' 193.
בית המשפט קבע כי סלע המחלוקת בין הצדדים נעוץ בשאלת היקף הקיזוז. לא היתה מחלוקת על כך שלחברה הגיעה, בגין העבודות, תמורה של 754,916 ש"ח (לפני הקיזוז). אין המ דובר , כך קבע בית המשפט, במחלוקת הדורשת בירור עובדתי מעמיק והזמנת עדים. על כן קבע בית המשפט כי הבקשה למתן הוראות מתאימה לבירור המחלוקת. בית המשפט פנה למחלוקת גופה, וקבע, לאחר שקלא וטריה, כי הסכום שהמערערת זכאית לקזזו הוא 577,504 ש"ח ועל כן על המערערת לשלם לחברה 168,412 ש"ח (בתוספת סכום של 28,000 ש"ח בגין יתרת סולר במיכלים).

בערעור לפנינו טוענת המערערת כי לא היה מקום לדון בסכסוך במסגרת הליך של בקשה למתן הוראות. לחילופין טענה המערערת כי בית המשפט הכריע בסכסוך בלא לשמוע את הצדדים, בלא לזמנם לדיון, בלי לקבל תצהירים מן החברה ובלי לאפשר לצדדים לטעון או לחקור. המערערת מעלה טענות שונות לגוף ממצאיו של בית המשפט, ממצאים שמטעמים עליהם נעמוד בהמשך הדברים – אין צורך לפרטם.

החברה והנאמן ביקשו לדחות את הערעור. לטענתם כל תכלית הערעור היא לחמוק מתשלום כספים המגיעים לחברה. הם מדגישים כי המערערים לא ביקשו בתגובתם בבית המשפט המחוזי לחקור מצהירים, ואין להם להלין על כך שבית המשפט לא יזם זאת.

על דרך העקרון, איני רואה מקום להתערב בשיקול הדעת של בית המשפט שדן בעניין במסגרת הליך של בקשה, בקשה למתן הוראות. בצדק ציין בית המשפט המחוזי כי בענייני הקפאת הליכים ישנה חשיבות רבה לנושא הזמן, וזאת במיוחד כשמ דובר בעבודה שבוצעה על ידי החברה תוך כדי תקופת ההקפאה , עבודה בגינה לא קיבלה החברה תמורה. התמורה המגיעה לחברה לא היתה שנויה במחלוקת, גם לא עניינים שונים הנוגעים לקיזוז שאין צורך לפרטם. לגבי השימוש בהליך של בקשה למתן הוראות קבע לאחרונה השופט גרוניס:
"התכלית המרכזית של הליך של "בקשה למתן הוראות" לפי סעיף 310(ב) לפקודת החברות היא ליתן בידי המפרק מכשיר דיוני המאפשר לו לקבל הנחיות מבית המשפט בנוגע לאופן ניהול הליך הפירוק. היינו, מדובר בהליך עזר "פנימי", האמור לסייע למפרק בעבודתו. יחד עם זאת, במקרים מסוימים ניתן להשתמש בכלי של "בקשה למתן הוראות" על מנת לברר מחלוקת "חיצונית" של הגוף שבפירוק עם צד זר להליך הפירוק. זאת, שכן גם מחלוקת עם צד שלישי עשויה להיחשב ל"ענין שהתעורר אגב הפירוק". בפסיקה נקבעו שלושה תנאים, אשר בהתקיימם ניתן לברר סכסוך עם צד שלישי בגדר בקשה למתן הוראות: האחד, כי בירור המחלוקת עם הצד השלישי בהליך מסוג זה נחוץ למפרק לשם ביצוע תפקידו ביעילות ובזריזות; השני, כי ליבון המחלוקת עם הצד השלישי אינו מצריך בירור עובדתי מורכב; השלישי, כי הבירור על דרך בקשה למתן הוראות אינו גורם לעיוות דין או לפגיעה אחרת בזכויותיו של הצד השלישי (רע"א 259/99 חברת פליצ'ה ראובן בע"מ נ' סופיוב , פ"ד נה(3) 385, 396-393 (2001); ע"א 5709/99 לוין נ' שילר , פ"ד נה(4) 925, 936-935 (2001) (להלן - עניין לוין ); רע"א 9082/05 שרידב השקעות בע"מ נ' הרטמן (לא פורסם, 26.3.07) (להלן - עניין שרידב )). בנוסף, כאשר המחלוקת נוגעת לעילה שהיא ייחודית לדיני פשיטת הרגל או פירוק, נראה שהפורום המוסמך היחיד הינו בית משפט של חדלות פירעון (ע"א 2846/03 אלדרמן נ' ארליך , פ"ד נט(3) 529, 538-537 (2004)). גם כאשר מדובר בסכסוך באשר למסת הנכסים של הגוף המצוי בהליכי חדלות פירעון, תגבר הנטייה לבררו בגדר בקשה למתן הוראות (עניין שרידב , פיסקאות 7-6; רע"א 4956/07 לבנברג נ' ביקור חולים - הוספיטל , פיסקה 6 (טרם פורסם, 2.4.09)). בדרך כלל, גדר הספקות בשאלה האם מתאימה המחלוקת להידון כבקשה למתן הוראות נוגע למידת המורכבות העובדתית של הסכסוך" רע"א 3032/08 רייך נ' כהן , פסקה 6 לפסק הדין (טרם פורסם, 2.9.2009) (והשוו גם: רע"א 4956/07 לבנברג נ' ביקור חולים - הוספיטל , פסקאות 6 ו-8 לפסק הדין (טרם פורסם, 2.4.2009); וע"א 3991/06 כץ נ' בנק דיסקונט לישראל בע"מ , פסקאות כ"ה-כ"ז לפסק דינו של השופט רובינשטיין (טרם פורסם, 13.7.2008)).
אכן, כעקרון אין מניעה לברר את המחלוקת בדרך האמורה. אולם, בתיק זה הייתה מחלוקת הנוגעת להשלכה של המלחמה בצפון על שאלת הפרת החוזה (או אי הפרתו) על ידי החברה, אשר לכל הדעות חדלה לעבוד בשלב מסוים. גם מחלוקת זו ניתנת, בעיקרון, לבירור בדרך של בקשה למתן הוראות – אין המדובר במסכת ראיות מורכבת. איני משוכנעת בנסיבותיו של עניין זה, שבנושא זה דרך הבירור לא גרמה לתקלה. כזכור, הצדדים הגישו מסמכים ולא זומנו כלל לבית המשפט, אפילו לסיכומים. אכן, המערערת לא הציעה לחקור עדים, ואולם כשהצדדים לא זומנו אפילו לדיון, איני משוכנעת שהיתה לה הזדמנות לעשות כן.

על כן אציע לחברי להחזיר את העניין לבית המשפט המחוזי לבירור שאלה אחת והיא מה היתה השלכת המלחמה בצפון, אם בכלל, על היחסים החוזיים בין הצדדים, ועל שאלת הפרת החוזה. בשאלה מוגבלת זו יוכלו הצדדים להגיש תצהירים ובית המשפט ייקבע כיצד ינוהל הדיון ומה מתחייב מכך לגבי החלטתו שבערעור.
