לפנינו שני ערעורים שדנו בהם במאוחד. עניינו של הערעור הראשון (ע"א 7685/12) הוא פסק דין שדחה בקשה לאישור תובענה ייצוגית שהגיש המערער נגד בעלי שליטה ונושאי משרה בחברת דלק נדל"ן בע"מ (המשיבים 17-1 בערעור זה; ולהלן – הנתבעים ו דלק נדל"ן , בהתאמה). הבקשה לאישור התובענה הייצוגית עסקה בטענות המערער כי בשל מעשיהם ומחדליהם של הנתבעים, ירד באופן דרסטי ערך המניות של דלק נדל"ן המוחזקות בידי הציבור. סכום התובענה הייצוגית שאישורה נתבקש הועמד על 720 מיליון ש"ח. בית המשפט המחוזי בתל-אביב-יפו דחה את הבקשה לאישור התובענה הייצוגית לאחר שהוגשו "תשובות מקדמיות" מצד הנתבעים (כבוד השופטת ד' קרת-מאיר ), ומכאן הערעור שהוגש לבית משפט זה.

הערעור השני (ע"א 8322/12) הוגש על-ידי אותו מערער על החלטת בית המשפט המחוזי בתל-אביב-יפו, שבה אושר הסדר נושים לגבי דלק נדל"ן (כבוד סגנית הנשיאה ו' אלשיך ). בערעור זה ביקש המערער כי יובהר, שאין בהסדר הנושים שאושר כדי להוות ויתור של בעלי המניות מהציבור על טענותיהם הנדונות במסגרת ההליך הייצוגי שיזם. לטענת המערער, הוא ביקש מבית משפט קמא לכלול בהחלטתו הבהרה כאמור, ומאחר שבקשתו לא נענתה, הגיש ערעור לבית משפט זה.

ביום 21.1.2014 הגישו המערער, דלק נדל"ן והמשיבים 17-14 בקשה למחיקת הערעורים, נוכח הסדר פשרה שהושג ביניהם. תנאיו של הסדר זה הובהרו בהודעה שהגישו בעלי הדין האמורים ביום 9.2.2014, וכן קיבלנו הסברים נוספים על ההסדר בדיון שקיימנו ביום 2.4.2014. בהתאם להסדר הפשרה שאישורו מבוקש, תבצע דלק נדל"ן תשלום נוסף לבעלי המניות מן הציבור (כהגדרתם בהסדר), באופן שיגדיל את הסכומים ששולמו להם על-פי הסדר הנושים מכ-21.5 מיליון ש"ח ל-31 מיליון ש"ח. אישור ההסכם יהווה מעשה בית-דין כלפי חברי הקבוצה המיוצגת. במסגרת הדיון שנערך בפנינו הובהר, כי כל הנושים אשר היו צד להסדר הנושים מסכימים להסדר פשרה זה. הכונס הרשמי נתן גם הוא את הסכמתו להסדר הפשרה, והרשות לניירות ערך הודיעה כי אינה מתנגדת למחיקת הערעורים.

לאחר ששקלנו בדבר, מצאנו לנכון לאשר את הסדר הפשרה, בכפוף לאמור להלן לגבי שיעור הגמול ושכר הטרחה למערער ולבא-כוחו. באשר להסדר הפשרה עצמו, אחד השיקולים הרלוונטיים לעניין זה הוא "הסיכויים הלכאוריים של התובענה הייצוגית" (ראו, רע"א 9167/10 012 סמייל טלקום בע"מ נ' Mandap , פיסקה 10 (26.5.2013)). בענייננו, בהליך אחד נדחתה הבקשה לאישור התובענה הייצוגית, ואילו בהליך אחר אושר הסדר נושים, הכולל ויתור מצד בעלי המניות על טענותיהם. כאמור, הנושים אף מסכימים להסדר הפשרה. בנסיבות מיוחדות אלה, כאשר נערך הסכם פשרה ומסכימים לו אלה שציינו ואין הסתייגות ממנו, ובצידו הסדר נושים שאושר כאמור, אין מניעה לאשר את הסדר הפשרה.

עם זאת, לא מצאנו לנכון לאשר את בקשת בעלי הדין בכל הנוגע לשיעור הגמול למערער ושכר הטרחה לבא-כוחו (על השיקולים השונים לפסיקת גמול ושכר טרחה בהליך ייצוגי שנסתיים בפשרה, ראו, סעיפים 23-22 לחוק תובענות ייצוגיות, התשס"ו-2006, ע"א 2046/10 שמש נ' רייכרט (23.5.2012) (להלן – עניין
שמש ); רע"א 2362/08 תדיראן נ' שאול , פיסקאות 8-7 (14.12.2011) (להלן – עניין
תדיראן )). בעלי הדין מבקשים כי לטובת המערער ובא-כוחו יפסקו סכומים בשיעור של 2% ו-10% (בהתאמה) מתוך "הסך הכולל" המשולם לבעלי המניות (כלומר, מתוך 31 מיליון ש"ח); וכי בנוסף, ישולם למערער "החזר הוצאות" בשיעור של 180,000 ש"ח (בתוספת מע"מ) במסגרת מחיקת הערעור בע"א 8322/12. סכומים אלו מסתכמים לכדי 3.9 מיליון ש"ח. אנו סבורים כי בנסיבות העניין הם מופרזים. זאת, בעיקר נוכח העובדה כי הסדר הפשרה גובש בערכאת הערעור, לאחר שהבקשה לאישור התובענה הייצוגית נדחתה בבית משפט קמא. פשיטא, כי מידת ההצלחה שלה זכה התובע המייצג בניהול ההליך עד שהושגה הפשרה, היא שיקול רלוונטי בפסיקת שיעור הגמול ושכר הטרחה (השוו, עניין שמש , בפיסקה 8). לענייננו, מובן שכאשר מושגת פשרה בערכאת הערעור וכאשר מדובר במקרה שבו הערכאה הדיונית דחתה את הבקשה לאישור התובענה הייצוגית, על שיעור הגמול ושכר הטרחה להיות נמוכים יותר, בדרך כלל, מאשר במקרה שבו בית משפט קמא אישר אותה. כן יש ליתן את הדעת לפער בין שווי ההטבה הניתנת במסגרת הסדר הפשרה, לבין הסכום שנתבע בבקשה לאישור התובענה הייצוגית, ובענייננו גם נתון זה אינו עומד לזכותם של המערער ובא-כוחו (ראו, עניין תדיראן , בפיסקה 8) . עוד יוער, כי אנו סבורים שיש לאמוד את שכר הטרחה והגמול בהתייחס לשני הערעורים במאוחד. משכך, אנו מורים כי לבא-כוח המערער ישולם שכר טרחה בסכום של 1,200,000 ש"ח, וכי למערער ישולם גמול בסכום של 300,000 ש"ח.

אשר על כן, אנו נותנים תוקף להסכם הפשרה בין בעלי הדין בנוסח שהוגש ביום 22.1.2014, וכפי שהובהר בהודעה מיום 9.2.2014, בכפוף לקביעתנו לעניין הגמול ושכר הטרחה. המערער ישלח עותק מפסק-דין זה ומשתי ההודעות האמורות למנהל בתי המשפט לשם רישומם בפנקס התובענות הייצוגיות.
