מונחת לפני בקשת רשות ערעור על החלטת בית המשפט המחוזי בחיפה (רע"א 53872-11-13, כב' השופט מ' רניאל ), אשר קיבל ערעור על החלטת בית משפט השלום בעכו (ת"א 36677-01-13, כב' השופט ג' נאסר ), וקבע כי הסמכות העניינית לדון בתובענה נתונה לבית המשפט לעניינים מנהליים.

המשיבה פרסמה מכרז לחכירת מגרשים. כל מציע נדרש להפקיד ערבויות. המבקשת זכתה בארבעה מגרשים. המשיבה מימשה את הערבויות שצירפה המבקשת להצעתה, קיזזה את סכומן מסכום התמורה הכללי, והודיעה למבקשת כי עליה לשלם את יתרת התמורה עד לתאריך מסוים. המבקשת שילמה במועד עבור שני מגרשים בלבד מתוך הארבעה. לנוכח זאת ביטלה המשיבה את זכיית המבקשת בשני המגרשים הנותרים, עבורם לא שולמה התמורה במועד.
על הרקע הזה הגישה המבקשת לבית משפט השלום תביעה להשבת שתיים מבין ארבע הערבויות שחולטו, דהיינו: הערבויות הנוגעות לשני המגרשים בהם לא זכתה המבקשת. נטען כי המשיבה חילטה שתי ערבויות אלו שלא כדין ובניגוד לתנאי המכרז.
המשיבה הגישה בקשה לדחיית התביעה על הסף מחמת חוסר סמכות עניינית. נטען כי במידה והמבקשת מעוניינת לתקוף את ביטול זכייתה במכרז – הרי שמדובר בעתירה מנהלית. לחלופין, במידה והמבקשת מעוניינת בפיצוי כספי – או אז עסקינן בתובענה מנהלית. כך או כך, התביעה מצויה בסמכותו הייחודית של בית המשפט המנהלי, ולא בסמכותו של בית משפט השלום.
הבקשה נדחתה על ידי בית משפט השלום. הובהר כי מדובר בתביעה כספית בעילה חוזית, על יסוד התקשרות שנכרתה בין המבקשת למשיבה בעקבות מכרז. לפיכך הסמכות העניינית היא של בית משפט אזרחי, ולא של בית משפט מנהלי. ערעור שהוגש לבית המשפט המחוזי – התקבל. נקבע כי העילות הנטענות בתביעה הן מתחום המשפט המנהלי ודיני המכרזים, ולא מתחום דיני החוזים. בשל כך הסמכות העניינית נתונה לבית המשפט לעניינים מנהליים. מכאן בקשת רשות הערעור שבפניי.

בבקשה הודגש כי עילת התביעה איננה מבוססת על דיני המכרזים, אלא על טענות מתחום החוזים, ולפיכך עליה להתברר בבית משפט אזרחי בהתאם לשווי התביעה. המבקשת מוסיפה כי השלב המכרזי הסתיים עם ההודעה על זכיית המבקשת, ומאותו שלב ואילך היחסים בינה לבין המשיבה נכנסו למסגרת של יחסים חוזיים ר גיל ים. צוין גם כי מדובר בתובענה להשבת כספים שחולטו, ולא בתובענה לפיצויים.
המשיבה, מצידה, מציינת כי עסקינן בתביעה להשבת פיקדונות בעקבות ביטול זכייה במכרז, ולפיכך הסמכות העניינית היא של בית המשפט המנהלי. מהותה של התביעה היא מנהלית, ואף עילות התביעה הן עילות מנהליות. המשיבה מוסיפה כי מאחר והתמורה לא שולמה במועד - טרם נכרת חוזה בין הצדדים, ולפיכך עודנו מצויים בשלב המכרזי.

סעיף 5 לחוק בתי משפט לעניינים מנהליים, התש"ס-2000 (להלן: החוק), קובע את סוגי ההליכים שיידונו בבית המשפט המנהלי. בין הליכים אלו מצויה גם התובענה המנהלית, ובלשון המחוקק: "תובענה המנויה בתוספת השלישית". התוספת השלישית מפרטת שני סוגים של תובענות מנהליות, שיידונו בבית המשפט המנהלי: "תובענה לפיצויים שעילתה במכרז", ותובענה ייצוגית שמוגשת כנגד רשות. במקרה דנא, המוקד הוא בסוג הראשון של התובענה המנהלית. השאלה היא האם התובענה שהגישה המבקשת נחשבת ל"תובענה לפיצויים שעילתה במכרז" – שאז הסמכות העניינית מוקנית לבית המשפט המנהלי.
פרשנות המונח "תובענה לפיצויים שעילתה במכרז" נדונה בעע"מ 9660/03 עיריית רחובות נ' שבדרון , פ"ד נט(6) 241 (2005), הגם שהדברים שם נאמרו למעלה מן הצורך. באותו עניין הדגיש השופט א' רובינשטיין כי המבחן הראוי הוא מבחן העילה: אם הסעד המבוקש נובע מעילה הנוגעת למכרז - האכסניה המשפטית המתאימה היא תובענה מנהלית בבית משפט מנהלי. המשנה לנשיא מ' נאור עמדה אף היא על מבחן העילה, כאשר לדידה עילת התובענה תיחשב כנובעת ממכרז אם המכרז אינו מהווה "עובדת רקע" בלבד. המקרה ה"קלאסי" של תובענה כזו, הוסבר, הוא כאשר תובע שהיה צריך לזכות במכרז - לא זכה, וכעת הוא תובע פיצויים בשל כך. עם זאת, הודגש כי ייתכנו מקרים נוספים שייכנסו בגדר סמכותו העניינית של בית המשפט המנהלי.
בהמשך לכך, ברע"א 3995/11 וולך נ' מדינת ישראל
(11.7.2012) ציינתי כי המוקד צריך להיות בבחינת מהות העניין. על בית המשפט לבדוק את הבסיס לתביעה הכספית - האם העילה לתביעת הפיצוי נובעת ממכרז ומבוססת עליו. ככל שהעניין הוא מכרזי במהותו, על התובענה להישמע בבית המשפט המנהלי.
להשקפתי, כדי להכריע במקרה גבול – חשוב לפתח כללים נהירים ככל שניתן בשאלת הסמכות. כללי הסמכות משולים לתמרור נסיעה המוצב בצומת. התמרור נועד לכוון את הנהג בדרכו. כך יידע לאן עליו לפנות. בסוגיה הנידונה – סמכות בהקשר של "תובענה לפיצויים שעילתה במכרז" - ההכרעה איננה קלה. אין מדובר למשל בשאלה של סמכות על פי סכום התביעה. אך נראה כי ניתן להתבסס על פסקי הדין שצוינו על מנת להכריע (ראו: עע"מ 3309/11 קוטלרסקי נ' המועצה המקומית תל מונד
(6.1.2013), חוות דעתו של השופט י' עמית והערת השופט א' רובינשטיין ; וכן סעיף 6 לחוות דעתי בעניין וולך ).

על הרקע הזה, סבורני כי דין הבקשה שבפניי להידחות. עיון בכתב התביעה, שצורף לבקשה, מלמד כי התביעה להשבת סכום הערבויות מתבססת על מספר אדנים. נטען כי המשיבה הקדימה שלא כהוגן את המועד האחרון לתשלום התמורה, בניגוד לתנאי המכרז. כמו כן נטען כי היה על המשיבה לערוך למבקשת שימוע, קודם שתחלט את הערבויות. טענה נוספת היא שהמשיבה פעלה למול המבקשת בחוסר סבירות ובחוסר הגינות. עינינו הרואות כי אף על פי דבריה של המבקשת עצמה – מדובר בעניין מכרזי במהותו. כאמור, זו אבן-הבוחן העיקרית. המכרז איננו עומד רק ברקע. עילות התביעה שנפרשו בכתב התביעה מבוססות במידה רבה על יסודות המשפט המנהלי, והמכרז בו עסקינן – על תנאיו וסעיפיו - מהווה את ליבת התביעה.
מאחר ואלו הם פני הדברים, סבורני כי לא נפלה שגיאה משפטית בקביעת בית המשפט המחוזי – שהסמכות העניינית לבירור התובענה היא של בית המשפט המנהלי. עניינה של התביעה הוא מנהלי ומכרזי במהותו. ממילא, על פי לשון החוק והכללים שנקבעו בפסיקה, הסמכות מסורה לבית המשפט המנהלי.

הבקשה נדחית. המבקשת תשא בהוצאות המשיבה בסך 7,000 ₪.
