המערער ניהל תחנת דלק של חברת פז (להלן : " פז ") , אותה ירש מהוריו. ביום 31.7.02 נערך חוזה בין המערער לבין פז – לפיו סוכם על הפסקת ההתקשרות ביניהם תמורת 3.55 מיליון ₪ שתשלם פז למערער.
המערער דיווח על העסקה למשיב – פקיד השומה עפולה – בשנת המס 2002. בין המערער למשיב נתגלעה מחלוקת כיצד יש לסווג את העסקה האמורה. לאמור - האם מדובר ברווח הון רגיל , כטענת פקיד השומה;
או שמא מדובר ברווח הון ממכירת מוניטין ,
כטענת המערער. בית המשפט המחוזי קיבל את עמדת המשיב ומכאן ערעורו של המערער.

בית המשפט המחוזי הסתמך על לשון החוזה ועל נסיבות חיצונית. מקובלת עלינו טענת המערער כי ישנה נפקות לנפסק בעניין גוטמן (עמ"ה (מחוזי-ת"א) 1031/01 גוטמן נ' פ"ש ת"א 3 ,
מיסים כג/2 (אפריל 2009)). הרקע באותו עניין הוא חוזה, בין צד ג' לבין פז, הדומה במובנים רבים לחוזה שלפנינו. בית המשפט המחוזי קבע שם כי יש לסווג חלק מהתמורה ששולמה כמוניטין. הנפקות מהשוואה בין שני המקרים היא כי תוכן החוזה כשלעצמו אינו מכריע ויש לבחון היטב את נסיבות המקרה.
באשר לנסיבות האופפות את המקרה הקונקרטי לא מצאתי כי המערער ביסס את המסקנה שיש לסווג את כל התמורה כרווח הון ממכירת מוניטין. במהלך הדיון שהתנהל לפנינו הועלתה האפשרות לפיה חלק מהתמורה יסווג כמוניטין. תחושת הצדק ונסיבות המקרה תומכות בתוצאה שאינה מצויה בקצוות - "הכל או לא כלום". דרך זו, אינה נקייה מקשיים. בראש ובראשונה המערער לא הניח תשתית, אף לא בחוות דעת של המומחה מטעמו, שבאמצעותן ניתן יהא לכמת את המוניטין, שלא על דרך אומדנא.
ברי, כי לא ניתן לקבוע שיעור מוניטין בצורה מלאכותית. מהצד האחר, ישנו מארג עובדתי כדי לבסס קביעת מוניטין בשיעור מסוים על סמך הפסיקה של בית משפט זה. במילים אחרות התוצאה לפיה ייפסק סכום מוניטין – אף אם מינימאלי -
עדיפה על דחיית הערעור כולו.
בעניין שרון (ע"א 7493/98 שלמה שרון נ' פקיד השומה (15.12.03)) הובאה אמרת המשפט האנגלי שלפני למעלה ממאה שנה שיפה אף למקרנו: “What is goodwill? It is a thing very easy to describe, very difficult to define”
Commissioner of Inland Revenue v. Muller ) and Co.'s Margarine Ltd . [1901] A.C. 217, at p. 223 (HL) ). אכן קל לתאר את המוניטין אך קשה להגדירו. ניתן להוסיף שאף קשה יותר לכמתו. הנטל עודנו עומד על התובע.
בעניין שרון, ציין כבוד המשנה לנשיאה א' ריבלין , כי המוניטין נבדק, בין היתר, דרך החלטתם של לקוחות לשוב למקום העסק, כתוצאה מפרי "תכונותיו האישיות" של בעל העסק. שיקול זה פועל במובן מסוים נגד המערער משום שמדובר בתחנת דלק יחידה באזור מסוים. נתון זה אינו מהווה סוף פסוק, אך כאמור חוות הדעת של המומחה מטעם המערער לוקה בחסר. המערער אף לא הצביע על קו עלייה בפעילות העסקית במידה שתסייע לו בהוכחת המוניטין. ברם, מנגד עומדים שני נתונים בעלי משקל. האחד, קביעת בית משפט המחוזי בעניין גוטמן לפיה סעיף בחוזה בדבר תנית אי תחרות ותנית הייעוץ בא להבטיח כי המוניטין ייוותר בידי הרוכש. סעיף דומה מהווה חלק מהחוזה בין המערער לבין פז. האחר, מהחומר עולה כי אביו של המערער היה פעיל בהקמת התחנה במקום בו היא מצויה עד היום. הוא פנה למועצה המקומית קריית טבעון בבקשה לקבלת שטח להקמת התחנה (ראו נספח א' לתצהיר המערער). עובדה זו יחד עם ניהול המקום על ידי אביו של המערער ולימים המערער עצמו, רלוונטית לנושא המוניטין גם אם מבחינה משפטית הזכויות במקרקעין שייכות לפז. על אלה יש להוסיף נתונים נוספים לרבות העדים שהעידו מטעם המערער במהלך המשפט. לנוכח התמונה שהוצגה, יש מקום לקבוע על דרך האומדנא כי 15 אחוז מסך התמורה יסווגו כמוניטין.

הערעור מתקבל באופן האמור. לנוכח התוצאה אליה הגענו על נימוקיה המשיב יישא בהוצאות המערער ושכ"ט עו"ד בגין שני ההליכים בסך 10,000 ₪ להיום.
