בפניי בקשה למתן צו ביניים המורה למשיבים להימנע מביצוע כל פעולה בנוגע למכרז 16/2008 של המשיבה 1, ולהימנע מלהתקשר בהסכם או כל חוזה מחייב בנוגע למכרז וזאת עד החלטה בערעור אותו הגיש המבקש כנגד החלטת בית המשפט לעניינים מנהליים בתל אביב (כב' ס. הנשיא, השופט י' זפט) בבש"א 31104/09.

הרקע לבקשה הוא כדלקמן. המשיבה 1 הינה תאגיד עירוני של עיריית תל-אביב יפו. המשיבה 1 פרסמה מכרז פומבי שמספרו 16/2008, לביצוע עבודות איטום, בטונים וגמר עבור חניון המוקם לשימוש עובדי עיריית תל אביב. המבקש והמשיב 2, שהינם אחים, הגישו הצעות למכרז, כל אחד בגפו. הצעתו של המשיב 2 תחילה נפסלה מטעמים של אי עמידה בתנאי סף, כנגד החלטה זו הוגשה עתירה לבית המשפט לעניינים מנהליים, אך העתירה נמחקה טרם הדיון בה בהסכמת הצדדים. תחילה נפסלה ההצעה פעם נוספת, אך לאחר בחינה מחודשת על ידי ועדת המכרזים, הוחלט לקבל את ההצעה. עקב העובדה שהצעותיהם של המבקש ושל המשיב 2 היו זהות זו לזו החליטה ועדת המכרזים לערוך הגרלה בין שתי ההצעות, אשר בסופה נבחר במשיב 2 כזוכה במכרז. נחתם חוזה עם המשיב 2 לביצוע העבודות, הופקדו ערבויות, והחלה הערכות לתחילת הביצוע.
על הכרזת זכייתו של המשיב 2 במכרז הגיש המשיב עתירה לבית המשפט לעניינים מנהליים. בית המשפט דחה את העתירה על הסף בעילת העדר סמכות עניינית. הנמקת בית המשפט הייתה כי עתירות כנגד מכרזיה של המשיבה 1, כתאגיד עירוני, אינן נתונות לסמכותו של בית המשפט לעניינים מנהליים, בהתאם לרשימה המפורטת בס' 2(א) לחוק חובת המכרזים התשנ"ב-1992 (להלן: חוק חובת מכרזים ). זאת נוכח העובדה שתוקפו של תיקון מס' 14 לחוק חובת מכרזים, תשס"ג – 2002, המוסיף תאגידים עירוניים לגדר ס' 2(א), הותלה בהתקנת תקנות רלוונטיות, שאין חולק שטרם הותקנו, ועל כן התיקון טרם נכנס לתוקף. על החלטה זו הוגש ערעור לבית משפט זה, לו מצורפת הבקשה למתן צו ביניים שבפני.

המבקש טוען בבקשתו כי קיימת דחיפות במתן צו ביניים מכיוון שבכוונת המשיבים להתקשר בחוזה זה עם זו בנוגע לעסקה נשוא המכרז, וחוזה שכזה ייתר את הערעור. עוד טוען הוא שסיכויי הערעור טובים כיוון שהחלטת בית המשפט קמא מבוססת על שגגה, ועל פרשנות שגויה של מועד כניסתו לתוקף של תיקון מס' 14 לחוק חובת המכרזים. וכן נטען שמאזן הנוחות נוטה לעבר המבקש, כיוון שלגרסתו עתיד הוא לספוג הפסד רב במידה ולא יינתן הסעד המבוקש.

בתגובותיהם טוענים המשיבים תחילה כי דין ערעורו של המבקש, ועל כן גם בקשתו לצו ביניים, להידחות על הסף. זאת כיוון שהחלטת בית המשפט קמא מהווה החלטה אחרת ולא פסק דין, בהתאם לסעיף 12(א) חוק בתי משפט לעניינים מנהליים, התש"ס-2000, ועל כן ניתן להגיש על ההחלטה ערעור ברשות בלבד, ולא ערעור בזכות כפי שהוגש על ידי המבקש. לגופו של עניין מפרטים הם מדוע לגרסתם סיכוייו של
הערעור נמוכים, נוכח העובדה שקביעותיו של בית המשפט קמא מגובות בפסיקה ענפה בתחום, ודברי החוק ברורים. כן טוענים הם כי מצב הדברים כיום הינו שכבר נחתם חוזה בין הצדדים, והחלו מאמצים לביצוע העסקה, על כן הסעד המבוקש אינו רלוונטי בשלב זה. סיטואציה זו מטה לצידם את מאזן הנוחות, כאשר כבר הוצאו הוצאות רבות על ידי הצדדים במסגרת העסקה, ונוצר אינטרס הסתמכות.

תחילה אתייחס לטענת המשיבה 1 כי יש לסלק את ערעורו של המבקש על הסף, ובעקבותיו גם את הבקשה למתן צו ביניים. דין הטענה להידחות. דחיית עתירה על הסף הינה החלטה המסיימת הליך, ועל כן מהווה פסק דין המתיר ערעור בזכות, ואין מדובר בהחלטה אחרת כטענת המשיבה 1. כידוע סיווג החלטה כ" פסק דין " או כ"החלטה אחרת" אינו פועל יוצא של כותרת ההחלטה (ע"א 4540/04 מט"ח - המרכז לטכנולוגיה חינוכית נ' אורבוך , פס' 6 (טרם פורסמה, 14.9.2006)), אלא נגזר הוא ממהותה של ההחלטה כאשר השאלה היא ככלל האם "נסגר התיק" או שמא נותר לבית המשפט עניין נוסף לדון בו (רע"א 8813/05 עמותת במות נ' מדינת ישראל , פס' 4 (טרם פורסמה, 17.8.2006)). בענייננו בית המשפט החליט למחוק את העתירה על הסף מחמת חוסר סמכות עניינית ובכך נסגר התיק. מדובר אפוא לכאורה ב" פסק דין " עליו יש ערעור בזכות ולא נדרשת רשות. בעניין ישומו של כלל זה על החלטות לדחייה על הסף בעילת חוסר סמכות עניינית קובעת השופטת נאור בר" מ 9313/06 עיד נ' שר הפנים (טרם פורסמה, 5.2.2007):
"המבקש אומנם הפנה לסעיף 12(ב)(3א) המדבר על "החלטה בענין סמכות ענינית" אלא שסעיף זה חל על "החלטה אחרת" בענין סמכות עניינית. דהיינו, כל אותן החלטות בהן בית המשפט המינהלי קובע כי יש לו סמכות עניינית או במילים אחרות כל אותן החלטות הדוחות בקשות למחיקה על הסף מחמת חוסר סמכות עניינית (שם; כן ראו בר"ם 657/03 עיריית רהט נ' אלפראונה , פ"ד נז (3) 26 שניתן עוד בטרם הוסף לחוק סעיף 3א המוזכר לעיל). החלטות שכאלו הן החלטות ביניים "קלאסיות" שאינן מסיימות את ההליך (ראו והשוו בר"ם 7026/06 פארח נ' הועדה המקומית לתכנון ובניה נצרת (טרם פורסמה, 15.11.2006, פס' 8)). בענייננו לעומת זאת הבקשה למחוק את ההליך על הסף מחוסר סמכות עניינית התקבלה וההליך בבית משפט קמא הסתיים".
7.לאחר שעיינתי בבקשה ובתגובות המשיבים לגופו של עניין, הגעתי למסקנה כי דין הבקשה להידחות. שני שיקולים מרכזיים נשקלים בבוא בית המשפט להכריע בבקשה למתן סעד זמני: סיכויי הערעור ומאזן הנוחות, כאשר התנאים למתן סעד זמני בערעור מחמירים מאלו הנדרשים בפני הערכאה הדיונית (עע"מ 8162/07 חברת הארכבירים בע"מ נ' מדינת ישראל (לא פורסמה, 4.11.2007)).
בשקילת מכלול הנתונים של המקרה דנן יוצא כי מאזן הנוחות אינו נוטה לטובתו של המבקש. המבקש בבקשתו נמנע מלפרט את הנזקים שיגרמו לו במידה ולא יינתן הצו הזמני ופוטר עצמו באמרות כלליות בלבד. לכאורה רק על בסיס זה יכולתי לקבוע כי זה לא עמד בנטל ההוכחה כי מאזן הנוחות נוטה לצידו באופן ברור. עם זאת, מסקנה זו עולה גם לאחר בחינת הנושא לגופו של עניין. אכן, הנטייה היא לראות במכרזי הקמה כבלתי הפיכים ומשכך כמטים את מאזן הנוחות לטובת מבקש הסעד הזמני (ראו: בר"מ 9760/06 רחמני ששון (אפיק) 1991 בע"מ נ' מדינת ישראל (לא פורסמה, 27.11.2006)). ואולם, הנזק "הבלתי הפיך" לו טוען המבקש הוא שלא יתאפשר לו לזכות במכרז אפילו יתקבל ערעורו. על פי הפסיקה נזק כזה אינו בגדר נזק "בלתי הפיך" שאינו ניתן לפיצוי כספי על ידי המשיבה ואין לעכב בגינו מכרז (ראו והשוו: בש"מ 2236/01 קטימורה בע"מ נ' רשות השידור (לא פורסמה, 4.4.01)). אם אכן יתקבל ערעורו של המבקש, יוכל הוא לרפא את הנזק שנגרם לו, במידה ויגרם, באמצעות תביעת פיצויים כנגד המשיבים.
במקרה זה לכלל לעיל משנה תוקף, זאת כיוון שמאזן הנוחות אינו מסתכם באינטרסים הישירים של הצדדים, אלא מעורב אינטרס ציבורי באשר העסקה נשוא המכרז הינה בורג קטן מפרויקט רחב היקף לבניית חניון שאמור לשרת את עובדי עיריית תל אביב. ההשלכות של מתן צו ביניים הינן כי יעוכב המשך השלמת הפרויקט לתקופה בלתי מוגבלת עד אשר יתברר עניינו של המבקש. הדעת אינה סובלת עיכוב מסוג זה בפיתוח הציבורי וברווחתם של עובדים רבים הנובע מסכסוך עסקי בין אחד מיני רבים מהספקים המעורבים במיזם.
9.בסיכומו של דבר, מאחר שהגעתי למסקנה כי מאזן הנוחות אינו נוטה באופן מובהק לטובת המבקש לא מצאתי מקום להמשיך ולדון בסיכויי הערעור, וקובעת אני כי אין להיעתר לבקשה.
הבקשה, כאמור, נדחית. המבקש ישא בהוצאות המשיבים ושכר טרחת עו"ד בסך 5,000 ₪.
