בקשה למחיקת ההליך על הסף
החלטה
לפניי בקשה מטעם המשיבים 1 ו-2 לסילוק ההליך על-הסף, זאת מן הטעם שהיה על המערערת – כך נטען – להגיש בקשת רשות ערעור ולא ערעור בזכות. אציין כי נושא הסיווג כבר עלה לפני כבוד השופט שֹהם שדן בבקשה לעיכוב ביצוע, וכבוד השופט הורה בהחלטתו מיום 13.6.2013 כי העניין יובא להכרעה לפני הרשם. אולם, בשל תקלה התיק לא הועבר לטיפולי עד להגשת הבקשה לסילוק על-הסף (ביום 1.7.2013). משהוגשה הבקשה אפשרתי הגשת תגובות נוספות, ועתה הגיעה עת ההכרעה.
ההחלטה נשוא הערעור ניתנה על-ידי בית המשפט המחוזי בתל-אביב-יפו (כבוד השופטת, סגנית הנשיאה, ו' אלשיך) ביום 21.3.2013. הרקע בקצרה הוא שהחברה-המערערת נכנסה להליכי פירוק מרצון, והמשיבים 1 ו-2 – שהגישו נגדה תביעה בגין ליקויי בנייה – פנו לבית המשפט המחוזי בבקשה לעכב את הליכי החיסול או להעבירם להליכי פירוק בפיקוח בית המשפט. בית המשפט המחוזי, בהחלטתו מיום 21.3.2013, דו בשאלת מעמדם של המשיבים 1 ו-2 כנושים פוטנציאליים, ומצא כי מבחינה מהותית יש ממש בטענותיהם נגד חיסול החברה בעת שתלויה ועומדת תביעתם בגין ליקויי בנייה. בית המשפט הוסיף והתייחס לשאלת הסמכות ולשאלת המסגרת הדיונית המתאימה לבירור סוגיית עיכוב הליכי החיסול. בסופו של דבר קבע בית המשפט כי בנסיבות המקרה, ונוכח העובדה שהבקשה הוגשה בטרם חיסולה הסופי של החברה, "הרי שהיה מקום לעכב את הליך החיסול". לחלופין נקבע כי לאור חלוף הזמן היה מקום להורות על בטלותו של ההליך ועל העברת המערערת מהליך של פירוק מרצון להליך של פירוק בפיקוח בית המשפט.
המערערת חפצה להשיג על החלטה זו, וכאמור נקטה הליך של ערעור בזכות. האם זהו ההליך הנכון?
לפי סעיף 291 לפקודת החברות [נוסח חדש], התשמ"ג-1983, על החלטות הניתנות במסגרת הליך פירוק חלים דיני הערעור הרגילים אשר מבחינים בין פסק-דין – הנתון לערעור בזכות – לבין "החלטה אחרת" שאין להשיג עליה אלא ברשות. ככלל, פסק-דין הוא החלטה המביאה לכדי גמר את העניין התלוי ועומד בבית המשפט או חלק ממנו ("מבחן הסופיות"). יש לציין כי בהליכי פירוק, לעיתים בית המשפט מכריע במהלך הדרך במחלוקת מתוחמת – "יחידה דיונית" העומדת בפני עצמה – שאז ההכרעה במחלוקת הקונקרטית עשויה להיחשב "פסק-דין" גם אם הליכי הפירוק בכללם לא באו אל קיצם ( ראו לאחרונה רע"א 7213/12 שטיחים בסנטר ב.ש. בע"מ נ' אייס אוטודיפו בע"מ (10.12.2012); רע"א 2549/09 חברת אי.סי.אמ. יצרני מיזוג אוויר בע"מ (28.7.2010)).
בענייננו, הכף נוטה לסיווגה של ההחלטה כ"החלטה אחרת" ולא כ"פסק-דין". ראשית , בית המשפט קמא בהחלטתו לא נקט לשון חד משמעית באשר למתווה שבו יימשך ההליך. בית המשפט קבע כי יש מקום לעכב את הליך החיסול, או לחלופין לעבור מפירוק מרצון לפירוק בפיקוח בית המשפט. שנית , אין מחלוקת כי ההליך לא בא אל קיצו ונראה כי המשמעות העיקרית של החלטת בית המשפט המחוזי, בשלב זה, היא עצירת הליך חיסולה של החברה (מרצון). אציין כי בית המשפט קמא בהחלטתו הבהיר כי המעבר מפירוק מרצון לפירוק בפיקוח מצריך מינוי של בעל תפקיד ניטראלי, אך גם בעניין זה טרם ניתנו הוראות נוספות. עוד יוטעם כי בינתיים נקבעה ישיבה נוספת לפני בית המשפט קמא (בחודש אוקטובר 2013). לאור כל האמור, אני מתקשה לקבוע כי החלטת בית המשפט מיום 21.3.2013 נושאת משקל סגולי של "פסק-דין".
יוצא, כי המערערת לא הייתה רשאית להגיש ערעור בזכות.
המערערת ביקשה כי אם יתברר שאין עומדת לה זכות ערעור, הרי שבית המשפט יורה על הסבת ההליך מערעור לבקשת רשות ערעור. לחלופין ביקשה להאריך לה את המועד להגשת בקשת רשות ערעור. כאן המקום להבהיר כי אין הוראה ב תקנות סדר הדין האזרחי , ה תשמ"ד-1984, המתייחסת להסבת הליך של ערעור בזכות להליך של בקשת רשות ערעור (לפי תקנה 410א לתקנות, ניתן להמיר בקשת רשות ערעור שהוגשה בטעות לערעור בזכות, אך אין עיגון בדין למהלך הפוך). עם זאת, בית המשפט רשאי, במקום שהדבר מוצדק, ליתן ארכה
להגשת בקשת רשות ערעור, ובדרך זו, באופן מעשי , להפוך את הערעור לבקשת רשות ערעור. בענייננו, לאחר עיון בטענות הצדדים, באתי לכלל מסקנה כי כך אכן ראוי לנהוג במקרה שלפניי. בהקשר זה אציין כי מעבר לאי-הבהירות באשר לסיווגו הנכון של ההליך, הרי שהמערערת פנתה לבית משפט זה בבקשה מוסכמת להארכת מועד להגשת הליך ערעורי עוד ביום 11.4.2013, קרי: בטרם חלוף המועד הקצוב בדין להגשת בקשת רשות ערעור (ניתנה ארכה עד ליום 26.5.2013 – ראו בש"א 2591/13; בפועל הערעור הוגש ביום 8.5.2013).
לאור כלל הנסיבות האמורות, ובשים לב גם לכך שכבוד השופט שֹהם נדרש לבקשה לעיכוב ביצוע שהוגשה במסגרת הערעור והורה על עיכוב ביצוע חלקי תוך העברת המחלוקת בדבר הסיווג להכרעתי, סבורני כי הפתרון הדיוני הנכון והיעיל בענייננו הוא כדלקמן:
א.
ניתנת בזאת ארכה להגשת בקשת רשות ערעור.
ב.
בפועל, מתבקשת המזכירות להסב את ההליך לבקשת רשות ערעור, ולתייק את החלטתי זו בתיק השופט.
ג.
נראה כי העירבון טרם הופקד. יש להפקידו (בגדרי הליך בקשת רשות הערעור) תוך 7 ימים מעת המצאת החלטה זו, שאם לא כן יירשם ההליך לדחייה.
