עניינו של פסק הדין ב-11 הוראות תשלום בלתי חוזרות המופנות לבנק אוצר השלטן המקומי, שעשתה המועצה לטובת סונול (להלן: הוראות התשלום ). אין חולק כי בין המועצה לסונול לא היו קשרים עסקיים, ולטענת סונול, הוראות התשלום נמסרו על ידי המועצה לסונול, לבקשת חברה קבלנית שביצעה עבודות עבור המועצה. אותה חברה, הייתה חייבת סכומים ניכרים לחברה בשם סונול-כנען בע"מ בגין רכישת דלקים. לטענת סונול, הוסכם בין כל הנוגעים בדבר כי החוב לסונול-כנען יסולק בהוראות תשלום של רשויות מקומיות עבורן ביצעה החברה הקבלנית עבודות, ולכן הסכימה המועצה ליתן הוראות התשלום לזכות סונול.

בית משפט קמא קבע כי הוראות התשלום הבלתי חוזרות אינן מהוות שטר כמשמעותו בפקודת השטרות. כן נקבע כי אין לראות בהוראות התשלום מסמך היוצר את חיוב המועצה לשלם לסונול את הסכומים הנקובים בהן ואין בהוראות התשלום, כשלעצמן, כדי להקים עילת תביעה לסונול. עם זאת, הוראות התשלום מהוות ראיה על כך שהמועצה הסכימה לשלם לסונול את הסכומים הנקובים בהוראות התשלום, ומכאן שעליה לשלם לסונול את הסכום הנקוב בהן.

המועצה הגישה ערעור על פסק הדין ובד בבד עתרה לבית משפט קמא לעיכוב ביצוע פסק הדין. משנדחתה הבקשה, הוגשה הבקשה שבפני. לטענת המועצה, סיכויי הערעור טובים, בהתחשב בכך שבית משפט קמא קבע בפסק דינו כי הוראות התשלום אינן בבחינת שטר ואינן יוצרות את החוב אלא מעידות על החוב בלבד. בנוסף, לא הוכח הקשר בין המועצה לבין סונול ובין סונול לבין סונול-כנען. כן טענה המועצה, כי נוכח מצבה המיוחד והיותה בהליכי הבראה, אי עיכוב ביצוע פסק הדין עלול לסכל את תוכנית ההבראה, מה עוד, שכל עוד פסק הדין אינו חלוט, משרד הפנים לא מכיר בחוב במסגרת החובות המוכרים לצורך תוכנית ההבראה.
מנגד, טענה סונול כי סיכויי הערעור נמוכים ומאחר שבחיוב כספי עסקינן, אין מקום לעכב את ביצוע פסק הדין.

ברגיל, הגשת ערעור, כשלעצמה, לא מונעת מהזוכה בפסק הדין ליהנות מפרי זכייתו ואינה מעכבת ביצוע פסק הדין עליו מערערים, כאמור בתקנה 466 לתקנות סדר הדין האזרחי, התשמ"ד-1984 (להלן: התקנות ) (ראו, לדוגמה, בש"א 8240/96 חנני נ' פקיד שומה חיפה , פד"י נ(5) 403 (1997); ע"א 1578/05
מעוז חברה לביטוח בע"מ נ' עזבון המנוח אלי אלבז ז"ל (לא פורסם,

עם זאת, תקנות
467 ו-468, מותירות לבית המשפט שיקול דעת לעכב ביצוע פסק הדין ובפסיקה נתגבשו שני קריטריונים עיקריים להפעלת שיקול הדעת והם:
א.על המבקש להראות כי יש לו סיכויים טובים לזכות בערעור.
ב.על המבקש להראות כי אם יבוצע פסק הדין יהא זה מן הנמנע או יקשה מאד להשיב את המצב לקדמותו .

הערעור דכאן מעלה שאלה משפטית הנוגעת למהותן של הוראות התשלום. מטיעוני הצדדים עולה כי הנושא טרם נדון בפסיקתו של בית משפט זה, ואיני רואה אפוא להביע עמדה לגבי סיכויי הערעור במסגרת בקשת ביניים זו. ובכלל, נוכח טיבה וטבעה של החלטה בבבקשה לעיכוב ביצוע, רצוי כי בית המשפט לא ינקוט עמדה נחרצת מעבר להתרשמות על פני הדברים (השוו פלאטו שרון לעיל בעמ' 505; ע"א 6146/00 עיריית ת"א נ' בצלאל (לא פורסם, 19.11.2000) (להלן: עניין עיריית תל אביב )
עם זאת, גם בהנחה שסיכויי הערעור טובים, על המבקש להראות כי מאזן הנוחות מצדיק עיכוב ביצוע של פסק הדין, בניגוד לכלל המנחה שאין לעכב ביצועו של פסק דין על אף קיומו של ערעור תלוי ועומד .

ככלל, הנטייה בפסיקה היא שלא להעתר לבקשה לעיכוב ביצוע פסק דין של חיוב כספי, באשר לרוב אין מדובר בנזק בלתי הפיך שאין לתקנו ( ראו, לדוגמה, ע"א 1564/06 בן זאב ואח' נ' בן עמי (לא פורסם, 20.7.2006); ע"א 2020/06

חריג לכלל של אי עיכוב ביצוע, הוא כאשר יש בידי החייב לשכנע כי לא יוכל להיפרע מהזוכה אם יצליח בערעור

ענייננו נופל לחריג של פגיעה קשה בחייב באופן שלא ניתן יהיה להשיב את המצב לקדמותו. כפי שעולה מהבקשה ומפרוטוקול הדיון שהתקיים בערכאה קמא במסגרת הבקשה לעיכוב ביצוע, משרד הפנים אינו מכיר בסכום פסק הדין כגרעון של המועצה, כל עוד פסק הדין אינו חלוט. למועצה חובות כבדים והיא נמצאת כיום באיחוד תיקים בלשכת ההוצאה לפועל, ומשלמת לנושיה מדי חודש הסך של 70,000 ש"ח. לטענת המועצה, יש חשש כי הוספת סכום החוב על פי פסק הדין, תביא להגדלה משמעותית בסכום ההחזר החודשי בתיק האיחוד, וכפי שהתבטא ראש המועצה בדיון בבית משפט קמא, הדבר עלול לפגוע באיזון העדין מאוד בו מתפקדת כיום המועצה ולגרום לפגיעה בתושבי היישוב. כידוע, נזק לציבור הוא שיקול נכבד שעל בית המשפט להתחשב בו במסגרת מאזן הנוחות (ראו ע"א 9784/05 עיריית תל-אביב-יפו נ' גורן (לא פורסם, 1.12.2005) פסקה 8; עע"מ 7979/09 אשר שמואלי נ' ז'קי סבג ראש עיריית נהריה (לא פורסם, 25.10.2009); עע"מ 68/10 אדרי נ' אריאל אטיאס שר השיכון (לא פורסם, 31.1.2010).

במצב דברים זה, דומני כי עיכוב ביצוע חלקי של פסק הדין יהווה איזון הולם בין האינטרסים הנוגדים של הצדדים, ובין הכלל לפיו אין לעכב ביצוע חיוב כספי לבין החריג לכלל.
אשר על כן, אני מורה על עיכוב ביצוע חלקי של פסק הדין בגין כל סכום מעבר לסך של 2,000,000 ש"ח (שני מליון).

המועצה עתרה בבקשתה כי אורה לראש ההוצאה לפועל קריות, שם מתנהל תיק האיחוד, כי אם ייפתח תיק הוצאה לפועל על ידי המשיבה לביצוע פסק הדין, לא יוגדל הסכום אותו משלמת המועצה לתיק האיחוד מדי חודש. ברם, נושא זה מסור לשיקול דעתו של ראש ההוצאה לפועל, על פי הנתונים שבפניו. לכן, וככל שהמשיבה תפעל עד להכרעה בערעור, בהליכי הוצאה לפועל לגביית הסך של עד שני מליון ₪, כפי שהיא רשאית לעשות על פי החלטה זו, רשאית המועצה לפנות לראש ההוצאה לפועל בבקשה מתאימה במסגרת תיק האיחוד.
בנסיבות העניין אין צו להוצאות.
